1. Overview and Acceptance
These Terms of Service (the "Terms") govern your access to and use of Struct, Inc.'s products, websites, applications, tools, and related services (collectively, the "Services"), including Struct, a text-to-3D simulation platform for building and simulating autonomous systems. By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Services.
You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Services. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may use the Services only with the consent of a parent or legal guardian who agrees to be bound by these Terms.
2. The Services; Beta Features
Struct enables you to provide text and other inputs to generate and run 3D simulations, produce outputs, and manage assets. Certain features may be labeled as alpha, beta, preview, or otherwise experimental ("Beta Features"). Beta Features are provided for evaluation, may change at any time, and may be subject to additional terms. You acknowledge that outputs may be inaccurate, incomplete, or unsuitable for safety-critical applications without independent validation and human review.
3. Accounts and Security
- You are responsible for the accuracy of the information you provide when creating an account.
- You are responsible for safeguarding your account credentials and for all activities that occur under your account.
- Notify us immediately at hello@struct.inc of any unauthorized use or suspected breach.
4. Subscriptions, Trials, and Fees
We may offer free trials or paid subscriptions for certain features or usage tiers. If you purchase a paid plan, you authorize our third-party payment processors to charge your payment method for the applicable fees, including recurring charges for subscriptions, plus any applicable taxes. Except as required by law or as expressly stated in writing, fees are non-refundable.
We may modify pricing or plans with notice as required by law. Changes to pricing will take effect in your next billing cycle unless otherwise stated.
5. License and Access
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes. We reserve all rights not expressly granted herein.
6. Your Content, Inputs, and Outputs
You may provide prompts, configuration files, 3D assets/meshes, textures, scene graphs, and other content (collectively, "Inputs") to the Services, and you may receive generated results, artifacts, or other outputs (collectively, "Outputs").
- Ownership: As between you and Struct, Inc., you retain ownership of your Inputs and Outputs, except for the licenses you grant below.
- License to Struct, Inc.: You grant Struct, Inc. a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and reproduce your Inputs and Outputs solely as necessary to provide, maintain, and improve the Services, and to comply with law.
- Responsibility: You are responsible for your Inputs and for ensuring you have all necessary rights. You represent and warrant that your Inputs do not infringe, misappropriate, or violate any third-party rights or applicable law.
- Data Use: Unless you opt into separate data sharing programs, we do not use your private Inputs or Outputs to train our general-purpose models beyond what is necessary to provide the Services. See our Privacy Policy for details.
7. Acceptable Use Policy
You agree not to, and not to allow third parties to:
- Use the Services in violation of any applicable law, regulation, or export control.
- Upload or generate content that is illegal, infringing, deceptive, defamatory, or harmful.
- Interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access.
- Reverse engineer, decompile, or attempt to derive source code or underlying models except to the extent permitted by law.
- Circumvent any security or access controls, rate limits, or usage restrictions.
- Use the Services to create malicious code, orchestrate harm, or generate content intended for exploitation or abuse.
- Resell, sublicense, or otherwise exploit the Services except as expressly permitted.
- Use an Outputs to train or improve models that compete with the Services, except where such restriction is prohibited by law.
8. Third-Party Services and Integrations
The Services may rely on or interoperate with third-party tools, storage/CDN, identity providers, or model providers. Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services and do not control their content or availability.
9. Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other that is marked or reasonably understood to be confidential. Each party will use reasonable care to protect the other party's Confidential Information and will not use or disclose it except as necessary to perform under these Terms or as required by law.
10. Data Protection and Security
We implement technical and organizational measures designed to protect your information. You acknowledge that no system is perfectly secure. Our data practices are described in our Privacy Policy.
11. Availability; Support; Modifications
We strive to keep the Services available and performant but do not guarantee uninterrupted or error-free operation. We may add, remove, or modify features at any time, and we may suspend or terminate the Services or any part thereof with reasonable notice where feasible.
12. Warranties; Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY AND SUITABILITY OF OUTPUTS FOR YOUR USE CASES, INCLUDING ANY SAFETY-CRITICAL OR PRODUCTION USES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL Struct, Inc. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Struct, Inc.'s TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO Struct, Inc. FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) USD $100.
14. Indemnification
You will defend, indemnify, and hold harmless Struct, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Inputs or Outputs, or your violation of these Terms.
15. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services immediately if you materially breach these Terms, if required by law, or if your use poses a risk to the Services or others. Upon termination, your rights under these Terms will cease, except for provisions that by their nature should survive.
16. Export; Sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or jurisdiction subject to embargoes or sanctions, and that you will not use the Services in violation of export control or sanctions laws. You agree not to export or re-export the Services except in compliance with applicable laws.
17. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Services will be the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of such courts.
18. Changes to the Terms
We may update these Terms from time to time. The "Last Updated" date reflects the most recent changes. If changes are material, we will provide notice as required by law. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.
